Have a Board structure or model specifically designed to suit the size and complexity of the organization?

Have a clearly defined and documented working relationship between the Board and the staff person reporting to the Board (executive director or administrator) that works effectively?

Employ an executive director or administrator? If so, is this person both a competent manager and also knowledgeable about and committed to good governance practices by the Board?

Have a Board manual that includes Board responsibilities, director job descriptions, the constitution and bylaws, a conflict of interest policy, and policies for financial management and control, human resources management, and risk management?

Have an ongoing process for identifying needed skills and experience at the Board level and for recruiting qualified directors?

Have an up-to-date statement of the societys mission and a documented plan for implementing the mission that is updated annually?

Have processes in place for the Board to evaluate its own performance, the performance of the staff person who reports to it (executive director or administrator), compliance with policies and legal requirements, and success in achieving operational goals?
